The rules for using DiamondFood: ordering, delivery, partners, payments, wallet, liability, and dispute resolution in Ghana.
Effective date: 5 May 2026
1. Agreement
These Terms & Conditions (“Terms”) govern access to and use of the DiamondFood website, applications, and related services (the “Platform”) operated by DiamondFood (“we”, “us”). By creating an account, placing an order, signing up as a restaurant or rider, or otherwise using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
2. Definitions
- Customer: a user who orders food or related items through the Platform.
- Restaurant / merchant: a business partner whose menu and offerings appear on the Platform.
- Rider: an independent delivery partner who fulfils deliveries facilitated through the Platform.
- Order: a request placed by a Customer for goods offered by a Restaurant, assigned for delivery where applicable.
- Wallet: any stored-value or prepaid balance feature we make available for eligible users, subject to separate rules shown in-product.
3. Eligibility & accounts
You must be legally able to enter a binding contract in Ghana (typically at least 18 years old) unless a parent or guardian authorises use as permitted by law. You agree that registration information is accurate and that you will keep it updated. You are responsible for safeguarding credentials and for activity under your account. Notify us promptly of unauthorised use.
4. Customer terms — ordering & delivery
4.1 Marketplace role
DiamondFood provides technology and marketplace services. Unless expressly stated, Restaurants prepare food and Riders deliver; we are not the seller of the meal itself but facilitate the transaction. Displayed menus, prices, allergens, and preparation times are primarily determined by Restaurants—we strive for accuracy but ultimate responsibility for product descriptions lies with the Restaurant.
4.2 Pricing & fees
Prices, delivery fees, service fees, small-order fees, and promotions are shown before checkout where technically feasible. Fees may change; continued use after updates constitutes acceptance of fee schedules communicated in-product or on this site.
4.3 Payment
Payments are processed through integrated payment partners. You authorise us and our partners to charge your selected method for the order total, tips you choose, and any authorised adjustments (e.g. refunds or corrections). Failed payments may result in cancelled orders.
4.4 Delivery & ETAs
Estimated delivery times are indicative and depend on restaurant preparation, traffic, weather, and rider availability. We do not guarantee exact arrival times. Risk of loss for perishable goods passes in line with industry practice—typically upon delivery to the address or handover you specify.
4.5 Cancellations, refunds & disputes
Cancellation and refund rules depend on order status, Restaurant policy, and Platform rules shown at order time. You may contact support for incorrect, missing, or unsatisfactory orders; we may coordinate with the Restaurant and may issue partial or full refunds or credits where appropriate. Nothing in these Terms limits mandatory consumer rights under applicable law.
4.6 Group orders and shared sessions
Where the Platform offers group or shared ordering, the host and participants are jointly responsible for accurate items and payment authorisation. The host (or person checking out) is typically responsible for the order total and delivery details unless the product flow states otherwise. Do not share invite or join links publicly if you do not intend others to add items or join the session.
4.7 Conduct
You agree not to misuse the Platform: no harassment of riders or staff, no fraudulent orders, no attempts to circumvent payments, no scraping or reverse engineering beyond permitted use, and no unlawful activity. We may suspend or terminate accounts for breach.
5. Restaurant partner terms (summary)
Restaurants that onboard agree to honour accepted orders, maintain accurate menus and allergen information where required, comply with food-safety and licensing obligations, and cooperate with operational and safety investigations. Payouts, commissions, and settlement cycles are defined in partner agreements or in-product schedules. Misrepresentation, repeated quality issues, or legal violations may result in suspension or removal from the Platform.
6. Rider / delivery partner terms (summary)
Riders using the Platform agree to complete assigned deliveries professionally, follow traffic and safety laws, maintain valid documentation where required, and use location and status features honestly. Riders are independent contractors unless a separate written employment relationship exists; nothing in these Terms creates an employment relationship with DiamondFood unless explicitly stated in a signed agreement. Equipment, fuel, and insurance may be the Rider’s responsibility as disclosed during onboarding.
7. Wallet, tips & promotions
Wallet balances, top-ups, tips to riders or restaurants, referral credits, and promotional credits are subject to programme rules displayed in the app—expiry, eligibility, non-transferability, and redemption limits may apply. Wallet funds may not be legal tender outside the Platform.
8. Intellectual property
The Platform, branding, software, and content we create are owned by DiamondFood or our licensors. Customers and partners receive a limited, revocable licence to use the Platform for its intended purpose. You may not copy, modify, distribute, or create derivative works except as allowed by law or express permission.
9. User content
Reviews, ratings, photos, or other content you submit must be truthful and not infringe others’ rights. You grant us a worldwide, royalty-free licence to host, display, and use such content to operate and promote the service. We may remove content that violates law or these Terms.
10. Disclaimers
The Platform is provided “as is” and “as available” to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement where allowed. We do not guarantee uninterrupted or error-free operation.
11. Limitation of liability
To the maximum extent permitted by applicable law, DiamondFood and its affiliates, directors, and employees are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of these Terms or the Platform for any claim is limited to the greater of (a) the fees you paid to us for the specific order or transaction giving rise to the claim in the three (3) months before the claim, or (b) GHS 500—except where liability cannot be limited by law (including death or personal injury caused by negligence where applicable).
12. Indemnity
You agree to indemnify and hold harmless DiamondFood from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Platform, or violation of third-party rights—except to the extent caused by our wilful misconduct or gross negligence.
13. Suspension & termination
We may suspend or terminate access for breach of these Terms, risk, fraud, legal requirement, or operational reasons. You may stop using the Platform at any time. Provisions that by nature should survive (liability limits, indemnity, dispute resolution) survive termination.
14. Governing law & disputes
These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law rules. Courts in Accra, Ghana shall have non-exclusive jurisdiction unless mandatory consumer protections require otherwise. You agree to first contact support@diamondfood.app to attempt informal resolution before initiating formal proceedings where reasonable.
15. Changes to these Terms
We may modify these Terms by posting updates on this page and updating the effective date. Material changes may be communicated by email or in-app notice. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, stop using the Platform and close your account where available.
